In a joint announcement today, Adobe and Figma revealed the termination of their proposed merger, initially disclosed on September 15, 2022.
The merger, set to be a combination of cash and stock, faced stiff hurdles in obtaining the necessary approvals from the European Commission and the UK Competition and Markets Authority.
Adobe and Figma strongly disagree with the recent regulatory findings, but we believe it is in our respective best interests to move forward independently,
said Shantanu Narayen, chair and CEO, Adobe.
Despite both companies maintaining the strategic benefits of the merger, they chose to part ways due to the absence of a clear regulatory path. Adobe will pay Figma the agreed-upon termination fee as part of the resolution.
